1. Agreement to Terms
By accessing or using the Eleva website (elevaseo.com) and our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access or use our services.
2. Services
Eleva provides web development, performance optimization, WordPress maintenance and security, SEO consulting, and related digital services. Our services include but are not limited to:
- Headless website builds (Next.js, Shopify, WordPress)
- Performance audits and optimization
- WordPress maintenance and security plans
- Technical SEO consulting and training
- AI-powered marketing training
3. Service Engagements
Each service engagement is governed by a separate Statement of Work (SOW) or service agreement that outlines:
- Scope of work and deliverables
- Timeline and milestones
- Pricing and payment terms
- Revision and feedback process
- Acceptance criteria
In case of conflict between these Terms and a specific SOW, the SOW shall prevail for that engagement.
4. Payment Terms
- All prices are in USD unless otherwise specified
- Payment is due as specified in the applicable SOW or invoice
- Recurring services (maintenance, security) are billed monthly in advance
- Late payments may incur a 1.5% monthly interest charge
- We reserve the right to suspend services for overdue accounts
5. Intellectual Property
5.1 Our Content
All content on this website, including text, graphics, logos, icons, images, and software, is the property of Eleva and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.
5.2 Client Deliverables
Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project. We retain the right to use general techniques, tools, and frameworks developed during engagements. Open-source components remain subject to their respective licenses.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a service engagement. This includes but is not limited to business strategies, technical architecture, analytics data, and customer information. This obligation survives the termination of any agreement.
7. Warranties & Disclaimers
Our services are provided "as is" and "as available." While we strive for excellence, we do not guarantee:
- Specific search engine rankings or traffic results
- Uninterrupted or error-free website operation
- Specific revenue or conversion improvements
Performance metrics and projections provided in our audits are estimates based on industry data and our professional experience.
8. Limitation of Liability
To the maximum extent permitted by law, Eleva shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of our services. Our total liability shall not exceed the total fees paid by you for the specific service giving rise to the claim.
9. Termination
Either party may terminate a service engagement with 30 days written notice. In case of termination, the client is responsible for payment of all work completed up to the termination date. Monthly subscription services (maintenance, security) can be cancelled at any time with effect at the end of the current billing period.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of France. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified Terms.
